Terms & Conditions
Last updated: 7 July 2026
1. Acceptance of Terms
By creating an account or using Thinkspaces (“the Service”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Description of Service
Thinkspaces is a collaborative infinite-canvas application that lets users create, organise and share visual spaces. The Service is currently in active development; features and limits may change, but we will provide advance notice of material changes that affect paid subscribers (see Section 15 — Changes to These Terms).
3. Accounts
You must provide a valid email address and keep your credentials secure. You are responsible for all activity that occurs under your account. You must be at least 13 years old to use the Service.
4. User Content
You retain ownership of the content you create on Thinkspaces. By using the Service, you grant us a limited licence to host, store and display your content solely for the purpose of operating the Service. We will not sell or share your content with third parties except as required to provide the Service or comply with applicable law.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes intellectual property rights
- Attempt to gain unauthorised access to the Service or its infrastructure
- Interfere with or disrupt the Service for other users
- Use automated tools to scrape or overload the Service
If you believe content hosted on Thinkspaces infringes your rights or violates these Terms, email communications@thinkspaces.app with a link to the space or item. We will review reports and may remove content that violates these Terms.
5a. Plan Limits & Over-Limit Accounts
Each plan has caps on the number of spaces, items per space, and total stored file size. If you downgrade (or a paid subscription lapses) and your account exceeds the caps of your current plan, you may continue to view and export your existing content within that plan's limits, but you will be unable to create new spaces, add new items, or upload new files until you bring your account back within the caps or upgrade.
If your account remains over the free-tier caps for more than three (3) months after a downgrade, and after at least three (3) email notices to the address on file, Thinkspaces reserves the right — at its sole discretion and only in extreme circumstances — to delete stored image files associated with your account down to the free-tier storage cap in order to reclaim resources. We will always attempt to contact you first and will provide a data-download link so you can export your content before any such deletion. Space structure and non-file content will be preserved; only image binary data is eligible for reclamation under this clause.
6. AI-Generated Content (Pro Plan)
Pro subscribers may use the AI image-generation feature, which is powered by Google Gemini. When you use this feature your text prompt is sent to Google’s API for processing. Prompts are not retained on our servers after the response is returned. AI-generated images and any other outputs are subject to Google’s Gemini API terms of service. You are solely responsible for verifying that you have the right to use any generated image for your intended purpose, including assessing ownership, copyright, and any applicable usage restrictions. AI-generated content is provided “as is” and may not always be accurate or suitable for your use case.
7. Privacy
We collect the minimum data necessary to operate the Service: your email address, display name, and space content. Passwords are securely hashed and never stored in plain text. We use cookies for authentication sessions only. We do not sell your personal data. For full details, see our Privacy Policy.
8. Shared Spaces & Collaboration
When you invite others to a space, they can view and edit its contents. You are responsible for managing access to your spaces. We are not liable for actions taken by collaborators you have granted access to.
9. Subscriptions, Billing & Refunds
Thinkspaces offers the following paid plans: Hobby ($8/month or $79/year USD) and Pro ($20/month or $192/year USD). Payments are processed by Lemon Squeezy, who acts as our merchant of record. All applicable taxes (including VAT, GST, and sales tax) are calculated, collected, and remitted by Lemon Squeezy. Your receipts and invoices are issued by Lemon Squeezy. Prices are shown in USD; any taxes applicable to your location are shown by Lemon Squeezy at checkout.
Refunds:
- 14-day money-back guarantee: If you are unhappy with your first paid subscription to Thinkspaces, you may request a full refund within 14 days of the initial charge by contacting us via our FAQ & Support page. This guarantee applies once per customer and only to the first subscription purchase.
- After 14 days: All charges are non-refundable, except where a refund is required by applicable consumer law (including the Australian Consumer Law).
- Monthly subscriptions: You may cancel at any time. Your access continues until the end of the current billing period. No prorated refund is issued for unused days.
- Annual subscriptions: You may cancel within 14 days of the annual charge for a full refund. After 14 days, no refund is issued for the remaining period.
10. Price Changes
We may adjust pricing from time to time. For any increase to the price of a plan you are currently subscribed to, we will notify you by email at least 30 days before the new price takes effect. If you do not cancel before the effective date, the new price will apply at your next renewal.
11. Data & Backups
We maintain nightly automated backups of the database with a 30-day rolling retention window. Backups are encrypted at rest. In the event of a confirmed data loss incident we will notify affected users as promptly as practicable.
While we take reasonable care to protect your data, no system is infallible. We strongly recommend that you keep local copies of any mission-critical content. You can export individual spaces from within the app at any time.
12. Service Suspension & Termination
We may suspend or terminate your account if:
- Your subscription payment fails or is charged back and remains unresolved
- You violate any provision of these Terms
- We detect or reasonably suspect fraudulent, abusive, or illegal activity on your account
Where possible we will give you notice and an opportunity to remedy a breach before suspending access; we may act immediately where reasonably necessary to protect the Service or other users, to prevent fraud or abuse, or to comply with law. Following termination, your data will be retained and then purged according to the schedule described in our Privacy Policy. You may delete your account yourself at any time from your account settings; a 7-day grace period applies before the hard delete runs (see Privacy Policy for details).
13. Limitation of Liability
The Service is provided “as is” and “as available”. Subject to Section 13a, and to the fullest extent permitted by applicable law, we exclude all implied warranties, conditions, and guarantees, and Thinkspaces and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, revenue, or profits.
Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) USD $100 or (b) the total fees you paid to Thinkspaces in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for gross negligence or wilful misconduct, or for any liability that cannot be excluded by law.
13a. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the ACL or any other applicable law that cannot lawfully be excluded.
To the extent permitted by law, our liability for a failure to comply with a consumer guarantee in relation to the Service is limited, at our option, to resupplying the Service or paying the cost of having the Service resupplied.
14. Force Majeure
We will not be liable for any delay or failure to perform our obligations under these Terms where that delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, labour disputes, or acts of third-party service providers. We will resume performance as soon as reasonably practicable.
15. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes via email before the changes take effect. Continued use of the Service after the effective date of any revision constitutes acceptance of the revised Terms. For price changes, the 30-day notice rule in Section 10 applies.
16. Governing Law & Venue
These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-laws rules. The courts of New South Wales, Australia have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. If you are a consumer, this clause does not affect any right you have to bring proceedings in the courts of your place of residence.
17. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thinkspaces regarding the Service and supersede all prior agreements or understandings on the same subject matter.
18. Contact
Thinkspaces is operated by Kim Taylor (ABN 39 952 416 436) of New South Wales, Australia.
